    Utica Mutual Insurance Co. is acquiring Nationwide Holdings, Inc., the holding company for Founders Insurance Co. of DesPlains, Ill., in a move to expand and diversify its business.

    Utica Mutual, the principal company of the Utica National Insurance Group, did not disclose terms of the sale. The deal will close in the second quarter pending regulatory approval.

    A Brazilian firm interested in acquiring Hardinge, Inc. is taking its offer to shareholders in a hostile takeover bid after Hardinge executives repeatedly rejected acquisition offers.

    Romi S.A. (Bovespa: ROMI3) told Hardinge (NASDAQ: HDNG) shareholders today that it will pay $8 cash per share for all outstanding shares of Hardinge stock. The move aims to give Romi two-thirds of all Hardinge shares and ultimately control of the company.
